The term parent means, with respect to an entity:
  1. (a)A person who or which directly or indirectly holds more than 50 percent of:
    1. (1)The outstanding voting interest in the entity; or
    2. (2)The voting power of the board of the entity;
  2. (b)The general partner, managing member, or equivalent of the entity; or
  3. (c)The investment adviser to any entity that is a pooled investment fund, with “investment adviser” as defined in the Investment Advisers Act of 1940 (15 U.S.C. 80b-2(a)(11)).
